1. Introduction

These VND PBX Service Terms and Conditions, together with any operating rules, policies, price schedules, or other supplemental documents expressly incorporated herein by reference and published from time to time (collectively, the “Agreement”), constitute the entire agreement between VNDSOLUTIONS LIMITED, a New Zealand based Limited Company (hereinafter referred to as “we,” “us” or “VNDSOLUTIONS”) and the party outlined in the related registration order form (hereinafter referred to as “you,” “user” or “Customer”) regarding VND PBX Service (as defined herein), and supersedes all prior agreements, discussions and writings between the parties regarding the subject matter of this Agreement.

2. Payment & Services

Quality of Service may be affected by conditions beyond our control, including atmospheric, geographic, or topographic conditions, Internet Service Providers, Wholesale Carriers, and/or Power outages. We do not warrant or guarantee that Service will be available at any specific time or geographic location, or that Service can be provided without interruption. 

Emergency Services: We do not provide emergency services for all countries so please make sure you have Mobile or PSTN service available for your emergency calling.

VND PBX provides multiple kind of services. 

  1. Residential: If you register with us for residential services, we provide you with the Service for residential use. We reserve the right to immediately terminate, change the calling plan or modify the Service if we determine, in its sole discretion, that you are using the Service for non-residential use.
  2. For Businesses: Service is provided to you as a business user, for your business and home office use. This means that you are not using it for any personal, residential, nonbusiness or nonprofessional purpose. This also means that you are not to resell or transfer the Service to any other person for any purpose or make any charge for the use of the Service, without changing the type of the account as RESELLER. We reserve the right to immediately terminate, change the calling plan or modify the Service if determines, in its sole discretion, that you are using the Service for non-business or non-commercial use.
Automatic monthly Billing: SIP Trunking, Phone numbers, and hosted Cloud PBX services are provided monthly, with an automatic monthly renewal unless you cancel your service online. You agree to pay your monthly recurring and usage charges, if applicable, for your use of service(s).
 
Payment & Late Charge(s): You agree to provide us with a valid email address and a valid payment method. You must advise us immediately if your email address changes and/or payment method changes or expires. Failure to comply may result in the immediate termination of Service(s). Our plans are Pay as you go basis which means you will be charged in real-time. 

 

Service Termination: You acknowledge that in the event of any account termination or cancellation, all telephone numbers associated with your account are released and may not be available to you upon your reactivation. Similarly, the cancellation of individual services which have associated telephone numbers will result in the release of such numbers. Similarly, if your account balance remains below zero for consecutive 3 months, our system will initiate the termination request. All services associated with the account will be cancelled. If you wanted to cancel the service, we will send a notification via email and upon confirmation your account will be cancelled.

 

3. Agreement

This Agreement shall constitute the complete and exclusive agreement between us, notwithstanding any variance with any purchase order or other written instrument submitted by you, whether formally rejected by us or not.
